Background
Giulia Mancini leads company formation for founders who are not resident in Italy. She started out preparing incorporation deeds in a Milan notary practice and has spent twelve years on the same problem since. Most weeks she is reconciling what a foreign shareholder can sign remotely with what the notary and the Register of Companies will actually accept.
The three years spent drafting the atto costitutivo at the start of that are still the part of the background that does most of the work. An incorporation is decided long before it reaches the register: in the wording of the objects clause, in who is empowered to sign what, in whether a document produced abroad will be accepted in the form it arrives in. Those are the things that either go through on the first attempt or come back, and coming back costs weeks.
What she works on
- Incorporating an S.r.l. or an S.p.A. for shareholders who are not resident in Italy.
- Remote incorporation by videoconference, and what still has to be done in person when it is used.
- Transferring quote (the units of an S.r.l.) when a ready-made company changes hands.
- Branches, subsidiaries and representative offices of a foreign company, and the choice between them.
- Filing with the Registro delle Imprese, and reading back what the register says about a company afterwards.
In practice most of the work is sequencing rather than drafting. A codice fiscale before a bank, a bank before the capital, the capital before the deed, the deed before the register, the register before anything the company wants to do next. Get that order wrong from abroad and the whole timetable moves.

Where a matter crosses two of those areas, and most matters do, the order of the steps is usually the thing under discussion rather than the substance of any one of them.
What is not claimed here
Giulia does not use an Italian professional title and does not claim membership of any Italian professional order. Those sit in open public registers, which means a claim to one is confirmed or disproved in about a minute, and we make none. Work that Italian law reserves to a notary or to another registered professional is done by a person qualified to do it, and the page that describes it says so.
There is also no count of companies registered on this page, no client list and no deal figures. We hold no such number in a form anyone could check, and a figure that cannot be checked is worth exactly nothing on a site whose whole argument is that every figure carries its source.
